TERMS AND CONDITIONS AGREEMENT
This agreement (hereinafter, the "Agreement") between ushousebuilders.com (hereinafter, "USHB", "us" or "we") and you sets forth the terms and conditions which govern your use of ushousebuilders.com site (hereinafter, the "Site") and/or the services (hereinafter, the "Services") thereon which are provided by USHB.
PLEASE READ THIS AGREEMENT CAREFULLY BEFORE ACCESSING OR USING THE SITE AND/OR SERVICES. BY ACCESSING OR USING THE SITE AND/OR SERVICES, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS SET FORTH BELOW. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS AND CONDITIONS, YOU MAY NOT ACCESS OR USE THE SITE OR SERVICES AND SHOULD IMMEDIATELY CEASE SUCH USE. USHB MAY MODIFY THIS AGREEMENT AT ANY TIME.
1. Key Notions
"Company", "USHB", "USHouseBuilders" ("us", "we", "our" and "ours") means USHouseBuilders.com.
"Members" means any person or company who submits or publishes a job on the Site for Contractors to quote on and also any person or company who registers whether as a Homeowner or a Contractor.
"Job Offer" means project/job submitted by a member via our service.
"Users", "You", means anyone making use of the USHouseBuilders Services.
"Service" means any procedure or service that is provided by USHouseBuilders.com to Users, which includes, but is not limited to: information, services and products provided through the Site, or by telephone or email.
"Contractors", "Homebuilders" means any business who registers on the Site in order to quote for work posted by Members or post a job offer to find subcontractors.
"Homeowner" is any individual posting a job offer in order to find a Contractor.
"Site" means the website USHouseBuilders.com and all the pages, content and sub-domains contained therein.
2. Prohibited Activities.
In connection with your use of the Site and/or the Services, you acknowledge and agree that you will not:
a. copy, reverse engineer, reverse assemble, otherwise attempt to discover the source code, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer or sell any information, software, products or services obtained through the Site or the Services;
b. access the Site or Services by any means other than through the standard industry-accepted interfaces;
c. transmit any message, information, data, text, software or image, or other content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, or otherwise objectionable which may invade another's right of privacy or publicity;
d. impersonate any person or entity, including without limitation, a USHB official, forum leader, chat room monitor, guide or host, or falsely state or otherwise misrepresent your affiliation with such a person or entity;
e. post or transmit any material that contains a virus or corrupted data;
f. delete any author attributions, legal notices or proprietary designations or labels that you upload to any communication feature;
i. violate any applicable local, state, national or international law;
j. upload or transmit any material that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
k. delete or revise any material posted by any other person or entity;
l. manipulate or otherwise display the Site and/or the Services by using framing or similar navigational technology;
n. use the Site and/or the Services for any purpose that is unlawful or prohibited by these terms and conditions. You may not use the Site or the Services in any manner that could damage, disable, overburden or impair USHB's servers or networks, or interfere with any other user's use and enjoyment of the Site and/or the Services. Furthermore, you may not attempt to gain unauthorized access to any of the Site, Services, accounts, computer systems or networks connected to USHB through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Site or the Services.
3. Content and Intellectual Property
3.1. Content
You agree to use the website only for lawful purposes and in a way that does not infringe the rights of or restrict or inhibit anyone else's use and enjoyment of the website. Messages, profiles, job descriptions and other content must be civil and tasteful.
You understand that all postings, messages, text, files, images, photos, video, sounds, or other materials ("content") posted on, transmitted through, or linked from USHouseBuilder.com, are the sole responsibility of the person from whom such content originated. You are entirely responsible for all content that you post, email or otherwise make available via the Service.
You understand that USHB is not responsible for content made available through the service. Furthermore, the USHouseBuilders site and content available through the Service may contain links to other websites, which are completely independent of USHB. USHB is not liable or responsible for the information contained in any such website. Your linking to any other websites is at your own risk.
You agree that you must evaluate, and bear all risks associated with, the use of any content, that you may not rely on said content, and that under no circumstances will USHouseBuilders be liable in any way for any content or for any loss or damage of any kind incurred as a result of the use of any content posted, emailed or otherwise made available via USHouseBuilders.com.
You acknowledge that USHouseBuilders does not pre-screen or approve all content, but that USHouseBuilders shall have the right (but not the obligation) in its sole discretion to refuse, delete or move any content that is available on the website for violating the letter or spirit of the terms or for any other reason.
3.2. Intellectual Property
USHB owns all the intellectual property rights relating to the Site, including the designs, text, database, graphics and layouts, and you agree not use or copy any part thereof without our express permission.
The intellectual property rights on postings, messages, text, files, images, photos, video, sounds, or other materials ("content") Members upload to USHouseBuilders are retained by the copyright owner, and these are added to the Site by Members at their own risk. royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, communicate to the public, perform and display the content (in whole or in part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed, for the full term of any Rights that may exist in such content.
4. Submitting Information and Feedbacks to USHouseBuilders and Personal Responsibility
You agree that any information you provide to us about yourself upon registration, posting a job offer, professional portfolio, feedback or at any other time will be true, accurate and complete and that you will ensure that this information is kept accurate and up to date at all times. USHouseBuilders reserves the right to terminate your membership and access to any specific content if USHB learns that you have provided USHB with false or misleading information.
When you post a job offer or register to use USHouseBuilders.com you will get an e-mail with a password. You must keep this password confidential and must not disclose it to or share it with anyone. YOU WILL BE RESPONSIBLE for all activities that occur under your password. If you know or suspect that someone else knows your password you agree to notify us immediately at [email protected].
You agree that Members connected with you in any way on the Site can leave feedbacks on USHouseBuilders.com and we are not responsible or liable for the information and opinions expressed by them.
Member posting any information is solely responsible for the accuracy of this information. Member who posts a feedback is directly responsible for his/her written evaluation. Member is solely responsible and liable for the accuracy and legality of the information and opinion expressed in his/her feedback.
All Members understand that any use of profanity, libellous behaviour, illegal activity, or any other form of abuse of the feedback function or any other part of the Site may be banned from further use and reported to the authorities, if applicable.
USHouseBuilders performs a number of checks on feedback to ensure authenticity and may at our sole discretion remove any feedback that we cannot verify.
You also agree that you are responsible and liable for all the decisions concerning sharing your personal or contact information with other Members of USHB. Besides, you are responsible and liable for any decisions, contracts, transactions, quoting, and dealing with other Members of USHouseBuilders. Any deals, contracts and their consequences, arising from your activity on USHB, are your own responsibility.
5. Limitation of Liability
You agree that USHouseBuilders has no responsibility or liability for the deletion or failure to store any content maintained or transmitted by the Site. USHB reserves the right at any time to modify or discontinue the website (or any part thereof) with or without notice, and that USHB shall not be liable to you or to any third party for any modification, suspension or discontinuance of any services.
You also agree that USHouseBuilders shall not be liable for any indirect, incidental, special or consequential losses or damages or loss of profits, data, goodwill, revenue, property incurred in connection with your use of the Site or its Services regardless of whether such losses or damages arise in the normal course of events or whether USHB or its Services has been involved.
USHB will not be liable for any such losses or damages whether arising in contract, tort (including negligence) or otherwise arising out of or in connection with this website including without limitation the use or the inability to use USHouseBuilders.com or any of its Services, like message system, or messages received, or transactions or contracts entered into through USHouseBuilders.com, or resulting from unauthorised access to or alteration of your transmissions or data.
Your interactions with organisations and/or individuals found on or through the Site, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organisations and/or individuals.
You agree that USHouseBuilders shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between Members on this Site, or between Members and any third party, you understand and agree that USHouseBuilders is under no obligation to become involved.
In the event that you have a dispute with one or more other Members, you hereby release USHouseBuilders, its officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and/or our service.
6. Termination of Service
You agree that USHouseBuilders, in its sole discretion, has the right (but not the obligation) to delete or deactivate your account, block your email address, or otherwise terminate or restrict your access to or use of the website, immediately and without notice, and remove and discard any content within the Site, for any reason, including, without limitation, if USHouseBuilders believes that you have acted inconsistently with the letter or spirit of the terms.
Further, you agree that USHouseBuilders shall not be liable to you or any third-party for any termination or restriction of your access to the Site. After termination or restriction of use you agree not to attempt to use the Site.
7. Changes
We may occasionally update our Terms and Conditions without notice (including, without limitation, on the introduction of new services to our users which affect our terms and conditions of use). Any such change will take effect once the revised Terms and Conditions are available on the USHouseBuilders.com home page. You will be bound by any such changes to the Terms and Conditions. Therefore, we ask that you bookmark and periodically review this page to ensure your continuing familiarity with the most current version of our Terms and Conditions.
